1. Acceptance of Terms
By registering an account, accessing the marketplace, or utilizing any services on TraderPond, you agree to comply with and be bound by these Terms of Service. If you do not agree, you must immediately cease using the platform.
2. The TraderPond Marketplace Model
TraderPond is a financial technology software provider, not a licensed bank or deposit-taking institution. The platform provides workflow management, credit analysis, and document validation services connecting Suppliers/Vendors, Capital Providers (CPs), and Principal Buyers.
- Virtual Accounts: All fund holdings, disbursements, and repayments are isolated inside dedicated virtual NUBAN accounts issued and managed by Sterling Bank Plc.
- No Direct Lending: TraderPond does not provide financing directly. All capital is committed by independent third-party Capital Providers listed in the marketplace.
3. PondSign Digital Signatures
Any contract, offer letter, or rollover agreement executed on TraderPond requires verification through our proprietary PondSign protocol. Executing a PondSign (consisting of tokenized OTP codes and real-time biometric selfies) constitutes a legally binding electronic signature under the Electronic Transactions Act of Nigeria.
4. Interest and Penalties
- Interest: Interest is calculated as a flat monthly percentage rate fixed at offer generation and split between the CP and the platform.
- Penalties: Defaulting on payment due dates triggers automatic daily penalty accrual on outstanding principal and interest balances (subject to default grace period configurations). Daily penalties do not compound.
- Repayment Sweep: Inbound payments are automatically matched and swept according to priority: outstanding interest first, outstanding principal second, and accrued penalties third.
5. Governing Law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising under these terms shall be subject to the exclusive jurisdiction of the competent courts in Lagos, Nigeria. For support, contact support@traderpond.com.
